MID Non-Disclosure Agreement
I, the above entered person, have submitted this non-disclosure bond under my real name to evidence that I agree and warrant that I will keep totally confidential and private all information I receive in connection with the Business Plan of Matrixx Internet Distribution ("MID") as well as its URL. Further, if I enter the Business Plan, I agree expressly as follows:
1. I will not release any of the above referenced information, directly or indirectly to anyone.
2. I acknowledge that my keeping the promises herein are material inducement for being granted access to the MID Business Plan and if I break this Non-Disclosure Agreement, I hereby agree to pay Matrixx Entertainment Corporation the sum of Two Hundred Thousand Dollars ($200,000) and all legal costs immediately if two (2) independent witnesses testify under oath that either I, my counsel or company have breached the terms set forth herein.
3. We would like to disclose to you that every time you enter this Business Plan, no
matter who you are or what you enter into the above forms, we have an
automatically-generated record of your identity and/or IP address, time you
entered and what you accessed or downloaded. This is for the protection of
the Company in due respect of any proprietary information which may appear in the MID Business Plan you are about to access.
4. I hereby agree that I will not construe the MID Business Plan I am about to enter to be an offer to buy or sell any securities and acknowledge that the authors have hereby indicated to me that said Business Plan is not, nor is meant to be, an offer to buy or sell any securities.
5. In consideration for keeping this bond, I hereby acknowledge receipt of One Dollar ($1.00) and other good and valuable consideration.
